Terms

These are the terms that apply when you buy a BizzWeb plan. They cover what is included, what it costs, how long the commitment runs, who owns what, and how the agreement ends.

1 · The agreement

These Terms govern the services supplied by BizzWeb (“BizzWeb”, “we”, “us”) to the customer (“you”, “the Client”).

These Terms form part of the agreement when they are incorporated into the Order or Proposal you accept. That is the moment they bind you: when you accept an Order, approve a proposal or pay against one.

Where we give you updated Terms and you continue to use the service, that constitutes acceptance of the updated operational terms, to the extent permitted by law. A change to scope, price, term or ownership is different: it is binding only in writing, and section 33 says so.

Which document wins

Where two documents disagree, they are read in this order, highest first:

  1. the Order, Proposal or Statement of Work you have signed or accepted;
  2. the Data Processing Addendum, for anything about processing personal data;
  3. any service schedule or product terms for the specific service;
  4. these Terms;
  5. How cancellation works;
  6. How we handle your details, for BizzWeb’s own processing;
  7. What costs extra and any other linked operational policy.

Where a signed order changes one point, it changes that point only, unless it expressly says otherwise.

2 · What BizzWeb provides

Depending on the plan and the agreed scope, BizzWeb may provide:

  • website design and development;
  • domain registration;
  • hosting;
  • business email;
  • Google Business setup;
  • basic SEO;
  • security and software maintenance;
  • backups;
  • ongoing support;
  • one included content update per month.

Only the items expressly listed as included in your plan or order are included. Anything else may be charged separately, and we will tell you the price before we do the work.

What costs extra sets out the common cases.

3 · Pricing and billing

The standard managed website plan is ₹699 per month, billed annually, plus a one-time setup fee of ₹2,999, unless a different price is agreed in writing.

The standard amount required to get started is ₹11,387: ₹8,388 for the first year of the subscription, and ₹2,999 for the one-time setup.

Tax

All prices are inclusive of GST. The ₹699 a month, the ₹2,999 setup fee and the ₹11,387 to get started are what you pay. There is no tax added at checkout.

Registrar fees, third-party charges and any other mandatory charges are shown separately on the invoice.

Renewal pricing

Renewal pricing may change. We will tell you about any material change to your price at least 30 days before the renewal it applies to, so that you can decide before the next year starts.

A price change applies only to the next renewal term. It does not alter the price already agreed for the term you have paid for.

That window is deliberately longer than the 7 days’ notice we ask from you to cancel, so a price change can never arrive too late for you to act on it.

4 · The first year, and renewal

Start Date
The date stated in your Order. If the Order does not state one, it is the date on which the website service was first made available to you.
Initial Term
12 months from the Start Date.

There is one Start Date and it is on your Order. It is not the day you first enquired, the day you paid or the day the site happened to go live, unless the Order says so. The same definition is used in how cancellation works, because the Renewal Date is counted from it.

You cannot cancel the plan for convenience during that first year.

Refunds

Except where applicable law requires otherwise, or where we agree otherwise in writing, amounts paid for an annual service term are non-refundable for unused time following early termination or non-use.

The setup fee becomes non-refundable once we have started material setup or production work for you. That includes provisioning accounts, setting up the domain, design production, development, or any other work expressly included in your order.

You see this before you agree

Because plans are agreed with you directly rather than bought through a checkout, the minimum term, the annual billing and this refund rule appear on the quotation or order you accept, not only on this page. If you have not seen them there, ask us before you pay.

After the initial term, the plan renews for a further annual period unless you cancel before the next renewal date, as set out in how cancellation works.

The minimum initial term is 12 months and is stated in the Order. It is paid up front. From the second year on there is no lock-in and no cancellation fee. You tell us before the Renewal Date.

5 · What we need from you

You are responsible for providing accurate and lawful:

  • business information;
  • service and product information;
  • contact details;
  • images and logos;
  • blog and case-study content;
  • testimonials;
  • legal and business disclosures required for your trade.

You confirm that you own, or have permission to use, everything you supply to us.

Delays in receiving content, approvals, account access, domain information or other required inputs will delay the work. Where a project is held up waiting on you, we may pause it. The period is 7 calendar days and the full sequence is in if a project stalls, so there is one number rather than two.

Pausing is not a penalty and it costs nothing. It only means the work moves to the back of the queue rather than holding a slot open.

6 · What you are responsible for

You are responsible for:

  • operating your business lawfully;
  • having the rights to any content, images, logos or data you supply to us;
  • the accuracy of the claims your website makes about your business;
  • any disclosures your business or your sector is required to make;
  • compliance specific to your industry, including any licence or registration you need;
  • the privacy notice and any consent mechanism required on your own website;
  • your own tax and business disclosures.

We can implement what you ask us to implement. Doing so does not make us your compliance adviser, and it does not transfer any of the responsibilities above to us.

7 · Approvals and changes

Designs, layouts and content that you approve are treated as accepted work.

Changes requested after approval may be chargeable where they fall outside the included scope. We will tell you whether a request is included or chargeable, and what it costs, before we start it.

BizzWeb is not responsible for inaccuracies caused by information you supplied or approved.

8 · If a project stalls

Some work cannot continue without something from you: content, an image, an approval, an answer. Where we have asked for it and the project stays inactive:

  1. we will ask again, in writing;
  2. if there is no response for 7 calendar days, we may pause the project;
  3. a paused project is rescheduled according to our capacity when you come back, rather than resuming in its old slot;
  4. after a further prolonged period of inactivity we may end the affected project or order, after giving you reasonable notice.

Pausing is not a penalty and it costs nothing. It only means the work moves to the back of the queue rather than holding a slot open.

If you change, revoke or do not provide the access credentials we need, our affected obligations are suspended until access is restored, and we are not responsible for delay to the extent it was caused by the lack of access.

9 · Basic SEO

The plan includes basic SEO optimisation.

It does not include ongoing SEO campaigns, keyword research programmes, link building, advanced technical SEO, SEO content campaigns, competitor analysis, or guaranteed rankings.

We do not guarantee a particular Google position, a level of traffic, a number of leads, a conversion rate, or revenue.

Search engines may change their algorithms, policies, indexing systems, eligibility requirements or ranking factors at any time and without notice.

10 · Content updates

One included request per month, concerning one existing page or section. That means one of the following: replacing an existing image or banner, updating existing text, or adding one new article or case study using a layout that already exists.

Requests that are unrelated to each other count separately, even if you send them together.

The included update does not cover:

  • new sections;
  • major new pages;
  • redesigns;
  • new visual systems;
  • colour or theme changes;
  • font-system changes;
  • custom development;
  • new graphics;
  • major layout changes.

Multiple unrelated requests count as separate content changes. Unused monthly updates do not roll over unless we agree otherwise in writing.

11 · Your domain

A .in domain is included under the standard plan, subject to availability and to the registrar’s requirements.

Any other domain extension is extra.

Where BizzWeb registers a domain on your behalf, it is registered using your accurate registrant information, so far as the applicable registrar and registry permit. BizzWeb does not acquire ownership of the domain merely because it arranged or paid for the registration. Registration and renewal remain subject to the registrar’s terms.

Transferring it away

If you leave, we will provide reasonable assistance and the registrar information and authentication details within our control that are needed to transfer the domain. The transfer itself remains subject to registrar and registry procedures, eligibility rules and technical requirements, which we do not control and cannot guarantee the outcome of.

Once the transfer is complete, or once we have given you the handover details and access, renewal, registrar account security, DNS, nameservers, billing and renewal deadlines become yours. A domain that is not renewed on time can expire and may then cost significantly more to recover, or may be lost.

12 · Business email

One business email account is included.

Additional mailboxes and additional storage are charged separately. See what costs extra. Email features, storage, delivery and availability depend on the third-party email provider.

The 30 calendar day website backup does not include mailbox contents unless your Order expressly says otherwise. Website recovery and email recovery are different things held in different places. If your mail matters to you, export it yourself before the service ends, and see how cancellation works for what happens to it.

13 · Hosting and third parties

BizzWeb uses third-party providers for hosting, DNS, domain registration, email, backups, CDN, analytics, security and other infrastructure. Those services are subject to their own terms and their own availability.

There is no online checkout or payment gateway on this website. Where a third-party banking or payment service is used to pay an invoice, that service processes the transaction under its own terms. See section 3 for how invoicing actually works.

We cannot guarantee uninterrupted availability where a disruption is caused by a third-party provider, by DNS or registrar systems, by internet failures, by attacks, or by other events outside our reasonable control.

Uptime

We do not offer an uptime guarantee. Where an outage is within our control we fix it as a priority. Where it is not, whether that is a provider failure, a DNS or registrar problem, an attack or an internet fault, we will reasonably assist with communication with the provider and keep you informed.

That is the honest limit of what anyone reselling infrastructure can promise, and we would rather commit to what we will do than to a percentage.

If a provider changes or goes away

If a third-party service used to provide your service is discontinued, materially changed, becomes unavailable, or becomes commercially unreasonable to continue with, we may replace it with a reasonably comparable service. Where the change materially affects your service, we will tell you.

We are not responsible for the continued availability or functionality of third-party licensed assets after the relevant licence expires, is revoked, becomes unavailable, or is no longer transferable.

14 · Backups

BizzWeb maintains backups as described in your plan.

Backups are a recovery measure, not a guarantee that every file or every change can always be restored. You should keep your own copies of business-critical data.

15 · Support

Support is provided through the channels we tell you about.

We aim to respond within 24 to 48 hours. That period is a target for acknowledging or responding to an ordinary support request. It is not a guarantee that the issue will be resolved within it. It can vary because of holidays, weekends, third-party outages, complex technical issues, or other circumstances outside our reasonable control.

Support does not include custom development, a major redesign, a migration, resolving a complex dispute with a third party, recovery from a major incident, or any task outside your plan. Those are quoted separately.

16 · Ownership and intellectual property

Four different kinds of material are involved in a website, and they are not owned in the same way.

Client Materials
Anything you supply: your text, images, logo, product information, data. Yours, and it stays yours.
Bespoke Deliverables
The website design, graphics, page content or code created specifically for you and expressly identified as yours in the order.
BizzWeb Background Materials
Our reusable templates, frameworks, utilities, components, deployment tooling, know-how and anything we had before your project. Ours, and it stays ours.
Third-Party Materials
Fonts, stock media, plugins, themes, APIs and libraries. Owned by whoever licensed them, and governed by that licence.

What transfers, and when

On full payment of all amounts due for the relevant deliverable, BizzWeb assigns to you the copyright in the Bespoke Deliverables expressly identified in the applicable order. That assignment excludes BizzWeb Background Materials and Third-Party Materials.

Your use of Third-Party Materials remains subject to the applicable licence terms, and those materials can be transferred only where the licence allows it.

Where we use our Background Materials inside a deliverable, you get a non-exclusive, perpetual licence to keep using them as part of that deliverable, which does not stop us using them again elsewhere.

What is handed over

The order says what handover includes. Rather than relying on the phrase “source code”, each order should state which of the following you receive: HTML, CSS and JavaScript files; CMS theme files; a database export; media files; editable design files; build or deployment files; plugin configuration; licence information; administrator credentials; custom integrations; documentation.

Unless a written order says otherwise, handover does not include our internal administration tools, our proprietary templates, our reusable frameworks and components, our internal deployment or monitoring systems, our own credentials, our internal documentation, or any third-party software or licence that is not transferable.

What your Order should record

Because the four categories above only work if it is clear which is which, each Order should state:

  • what counts as a Bespoke Deliverable for that project;
  • which files are transferred on handover;
  • whether editable source or design files are included;
  • which Third-Party Materials are used, and under what licence;
  • which BizzWeb Background Materials are embedded in the deliverable;
  • what licence you receive for those embedded Background Materials.

If your Order is silent on one of these, ask before you accept it. These are cheap questions to answer at the start and expensive ones to argue about at the end.

17 · Brand Kit and Instagram Kit

Brand Kit

If the Brand Kit has been purchased and paid in full, you keep the commissioned brand assets supplied as part of it, including the agreed logo files and the applicable website graphic assets. Third-party assets remain subject to their licence terms.

Instagram Kit

The Instagram Kit is a pay-as-you-use service. There is no subscription cancellation restriction on it unless a separate written order says otherwise.

18 · Graphics and custom development

New graphics

Graphics we create for the website are extra unless they are expressly included. This covers new banners, section graphics, diagrams, illustrations, campaign graphics and other custom visual assets.

Custom functionality

Custom functionality is extra unless expressly included. Examples are ecommerce, bookings, payments, customer portals, calculators, advanced forms, dashboards, API or CRM integrations, and automation.

19 · Payment, late payment and suspension

Invoices must be paid by the due date.

No interest on late payment

BizzWeb does not voluntarily charge a contractual late fee or interest on an overdue amount, except to the extent interest is required by applicable law. The debt does not grow while it is unpaid.

If you dispute an invoice

If you dispute an invoice in good faith, tell us in writing with reasonable detail before the suspension steps below begin. We will review the disputed amount before taking any action in relation to that amount. The timetable below continues to apply to any amount that is not in dispute.

What does happen, and when

Where a payment is overdue we may pause non-essential work immediately. After that there are two steps, and you are told before each one:

Day 10, services stop
Hosting, maintenance, email and support stop where that is technically and contractually appropriate. Your website goes offline. Nothing is deleted.
Days 11 to 13, a three-day buffer
Pay within these three days and everything is switched back on. This window exists because a missed invoice is usually an oversight, not a decision.
Day 13, the agreement ends
If the payment has still not arrived, the agreement ends. We keep a backup of your website for 30 calendar days from that date, then delete it.

Outstanding amounts already due remain payable after the agreement ends.

We do not delete the website backup solely because payment is overdue during the applicable retention period. Nothing is deleted for late payment while there is still time to fix it, and after the agreement ends there are 30 calendar days in which your website can be handed back. The handover in how cancellation works applies once the amount owed is settled.

20 · How the service must not be used

The service must not be used for unlawful, fraudulent, malicious, abusive, infringing or security-threatening activity.

We may suspend services where that is necessary to protect our systems, to comply with the law, or to reduce a serious security risk.

You are responsible for the content published on your website and for the messages sent from your business email, and you agree to cover us for claims that arise from unlawful or infringing material you supplied or published.

21 · Confidentiality

Each of us may learn things about the other that are not public: pricing, plans, customer information, technical details. Neither of us will disclose that information to anyone else except to the people and providers who need it to deliver the service, or where the law requires it.

This obligation continues after the agreement ends.

22 · Accounts, access and credentials

Delivering the service usually means we hold access to accounts on your behalf: hosting, the registrar, email, analytics and the website itself. We use that access only as reasonably necessary to provide, maintain, secure, support or troubleshoot the service, as described in how we handle your details.

Where you give us access to an account you own, you remain responsible for that account and for anything done through it by people other than us. Tell us promptly if you believe a credential has been exposed.

23 · Personal data on your website

Where BizzWeb processes personal data through or on behalf of your website in order to host, maintain, secure, support or troubleshoot it, you determine the purposes for which that data is processed. We process it only as reasonably necessary to provide the services and in accordance with your documented instructions, subject to applicable law.

The detailed terms for that processing are set out in the Data Processing Addendum, which forms part of this agreement and takes precedence over these Terms on anything to do with processing personal data. It covers the subject matter and duration of processing, the categories of data and of people, our confidentiality and security obligations, subprocessors, breach assistance, help with rights requests, and what happens to the data when the service ends.

Information that BizzWeb decides the use of, such as your enquiry, your contract and your billing records, is covered by how we handle your details instead.

In plain wordsYour customers’ data is yours. We hold it to run your site, and the rules for that are in a separate document written for the job.

24 · What we do not guarantee

BizzWeb supplies website and digital infrastructure services. We do not guarantee specific sales, leads, traffic, search rankings, engagement or revenue.

25 · Limitation of liability

To the extent permitted by applicable law, BizzWeb is not liable for indirect, incidental, special, exemplary or consequential loss, or for loss of profit, revenue, business opportunity or anticipated savings.

Where the cause is not ours

BizzWeb is not responsible to the extent that a loss is caused by:

  • a third-party service: hosting, the registrar, the email provider, DNS, a payment provider, Google, Meta, a plugin or an external API;
  • you or someone acting for you: content you supplied or approved, a change made outside our maintenance, a credential you shared, an account you let lapse;
  • an event covered by things outside anyone’s control.

“To the extent” is doing real work in that sentence. If a failure is partly a provider’s and partly ours, this clause reduces our responsibility by the provider’s share. It does not remove it.

Where a third party fails, we will reasonably assist with communication with that provider and do what we can to restore the service. That effort is part of what you pay for; the third party’s failure is not something we can underwrite.

The most we are liable for

Where BizzWeb is liable to you, and to the extent applicable law allows a limit, our total liability for all claims taken together is capped at the service fees you paid us in the six months before the claim arose.

On the Website Plan at ₹699 a month, that is ₹4,194. If you paid more than that in the six-month period, because you also took an add-on or because the plan price changed, the cap is the higher figure you actually paid. It is calculated from what you paid, not from the number printed here.

The cap is a total across all claims taken together, not a fresh limit for each one.

What this cap applies to

This cap limits what BizzWeb owes you. It does not limit what you owe BizzWeb under the indemnity in section 26, because that obligation runs in the other direction: it is yours to us, not ours to you.

This is stated rather than left to be argued about later. A cap on our liability that silently capped your indemnity would make the indemnity worth about as much as a single solicitor’s letter, which is not what either of us would mean by it.

What the cap does not cover

The cap does not apply to liability for fraud or fraudulent misrepresentation, for wilful misconduct, for death or personal injury caused by negligence, or to any liability that cannot lawfully be limited.

Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited.

In plain wordsIf the hosting company breaks it, or a change you made breaks it, we help you fix it but we do not pay for it. If something is genuinely our fault, the most we would owe you is six months of what you paid us, which is ₹4,194 on the standard plan. Fraud and a few other things are outside that cap entirely.

26 · Indemnity

You will indemnify BizzWeb against third-party claims, and the reasonable legal costs of defending them, to the extent the claim arises from Client Materials that you supplied, authorised or published and that infringe a third party’s rights or breach applicable law.

This does not apply to the extent the claim was caused by our own independent modification or misuse of those materials.

How a claim is handled

  • we will tell you promptly once we become aware of a claim covered by this clause;
  • you may take over the defence of the claim, using advisers you pay for;
  • neither of us will settle a claim in a way that admits fault on the other’s behalf, or imposes an obligation on the other, without that party’s written consent;
  • each of us will give the other reasonable assistance with the defence.

This indemnity and the liability cap

This indemnity is not subject to the cap in section 25. That cap limits what BizzWeb owes you. This clause is what you owe BizzWeb, and the two are separate obligations running in opposite directions.

What keeps this narrow is its scope, not a number. It applies only to third-party claims, only to the extent they arise from Client Materials you supplied, authorised or published, and only where those materials infringe someone’s rights or breach the law. It does not apply to anything we did independently, and it does not apply to the work itself.

In plain wordsIf you give us a photograph you do not have the rights to and its owner sues, that is yours to deal with, and our six-month cap does not shrink it. If we broke something ourselves, this clause does not apply at all.

27 · Ending the agreement

If you end it

How cancellation works sets out the process, the timing and what you receive.

If we end it

We may suspend or terminate the service for serious or repeated non-payment, material breach, unlawful use, a security risk, or circumstances where continuing would create an unreasonable legal or technical risk. Where it is practical to do so, we will give you notice and a chance to put the problem right.

What survives

Ending the agreement does not cancel amounts already due, and the clauses on ownership, confidentiality, liability and governing law continue to apply afterwards.

28 · Things outside anyone's control

Neither of us is responsible for a failure or delay caused by something genuinely outside our reasonable control, for example a natural event, a power or internet failure, a government action, an attack on infrastructure, or the failure of a major third-party provider.

If such an event continues for 3 months, either of us may end the agreement for the affected service without penalty.

Ending the agreement in that way does not affect rights or obligations that had already accrued, including amounts already due, confidentiality, data-protection obligations, intellectual-property rights and any other provision intended to survive termination.

29 · Notices

Notices under these Terms are given by email: to you at your registered contact address, and to us at support@bizzweb.in. A notice is treated as received on the next working day after it is sent, provided the sender does not receive a delivery-failure or bounce notification.

If a notice bounces, it has not been given, and the sender should use another address or method.

Keep your registered contact email current, and tell us if it changes. Renewal reminders, price-change notices and suspension warnings all go to that address. If your registered address stops working and you have not given us a new one, we may use any other contact detail you have given us.

Cancellation is different. A cancellation request is effective when it reaches our mailbox, not on the next working day. See how cancellation works.

What a day means on these pages

Calendar day
Every day, including Saturdays, Sundays and public holidays. Every retention period, notice period and deadline on these pages is in calendar days unless it says otherwise.
Working day / business day
Monday to Friday, excluding public holidays in the place where BizzWeb operates. Used only for response and deemed-receipt targets, never for a deadline you have to meet.
Time zone
Indian Standard Time, UTC+5:30. Every date, deadline and timestamp on these pages is in IST.

The distinction matters most at a deadline. Your cancellation deadline is in calendar days, so a weekend does not extend it. Our response targets are in working days, so a weekend does extend those.

30 · Showing your website in our work

Unless you opt out in writing, you grant BizzWeb a non-exclusive, royalty-free licence to display the completed website, the deliverables we created, and your business name and logo, solely for our portfolio and self-promotional purposes.

We will not publish anything you have marked confidential, and we will not publish your customers’ data.

You can opt out at any time by writing to support@bizzweb.in. We will remove the material within 30 days of your request.

31 · We do not give legal or professional advice

BizzWeb provides website design, development, hosting, maintenance and related digital services. Unless we have expressly agreed in writing, BizzWeb does not provide legal, tax, regulatory, accounting or other professional advice.

Any policy, notice or compliance page we prepare or implement for you is based on the information and instructions you supply, and should be reviewed by your own adviser where that matters to your business.

32 · Complaints

If something has gone wrong, tell us first, because most problems are quicker to fix than to escalate. Write to support@bizzweb.in with your business name, your website address and what has happened.

We aim to acknowledge complaints within 48 hours, and will handle them within the period required by applicable law. The acknowledgement tells you who is dealing with it.

Where a statutory timeline applies, that timeline applies, and nothing on this page extends it. A grievance under the data protection rules in particular has its own deadline, and it is shorter than anything we would set ourselves.

Complaints about how your personal information has been handled go to the contact named in how we handle your details.

33 · General

Subcontracting and transfer

We may use subcontractors and third-party providers to deliver parts of the service, and we remain responsible to you for the service. Neither of us may transfer this agreement to someone else without the other’s written consent, except as part of a sale or reorganisation of the business.

If part of these Terms fails

If any part of these Terms is found to be unenforceable, the rest continues to apply.

Not enforcing something once

If we do not enforce a term on one occasion, that does not mean we have given it up.

The whole agreement

These Terms, together with your order or proposal and the policies linked from this page, are the whole agreement between us about the service.

Changes to scope, price, term or ownership

A change to scope, price, term or ownership is binding only when it is recorded in writing by authorised representatives of both parties. A conversation, a phone call or a passing remark does not change any of those four things.

Everything else works as it always has. Ordinary support requests, content instructions and day-to-day approvals can be given through the usual channels, and an email or a message is enough for them. This clause is about the four things that decide what you get and what you pay, not about how you ask us to change a photograph.

Nothing here makes either of us the other’s partner, agent or employee.

34 · Changes to these Terms

We may update these Terms. Material commercial changes will be communicated to existing clients before they apply, and the effective date at the top of this page will be updated.

We keep previous versions and will send you one on request.

35 · Governing law

These Terms are governed by the laws of India.

Subject to any mandatory jurisdiction or dispute-resolution right available to you under applicable law, the courts at New Delhi having jurisdiction will have exclusive jurisdiction.

Nothing in this clause removes a statutory forum or remedy that the law gives you.
